The affiliate business will consider a resolution to move its registered address to St Helier in Jersey, “and that the company takes all necessary steps, in Malta and in Jersey, for it to be registered as continued as if it had been incorporated under the laws of Jersey”.
The business’s board of directors has recommended that shareholders approve the move.
If the relocation is approved, the business will be required to notify the Malta Registrar of Companies of the move and it will approve a new Memorandum and Articles of Association.
The group added that the move “shall not operate to prejudice or affect the continuity of the company, nor shall it affect the property of the company”.
Professional services business BDO International has “expressed willingness” to act as auditors for the move. If the relocation is approved, shareholders will also vote on the appointment of BDO as auditors.
Last month, the Gambling.com Group reported a €2.8m (£2.5m/$3.3m) net profit for its third quarter after a strong performance from its organic traffic services helped to drive revenue up 52.2% year-on-year.
